Letter of intent

A letter of intent was a letter written to outline the terms of a legal agreement prior to the final decision on it.

In 1893, Samuel Clemens was eager to find the letter of intent given him by Data, as he believed his and Data's major investor in the engine Data had developed would pull their money from the project if he couldn't locate it. (TNG: "Time's Arrow, Part II")
